Terms of Service

Please read these Terms of Service (“Terms”) carefully before using Action, a SaaS collaboration and leadership platform operated by Action (“we,” “our,” or “us”). By accessing or using Action, you agree to be bound by these Terms. If you do not agree, do not use the service.


1. Acceptance of Terms

By creating an account, joining a workspace, or otherwise accessing Action, you confirm that:

  • You are at least 16 years of age
  • You have the legal authority to enter into these Terms on behalf of yourself or your organization
  • You will comply with these Terms and all applicable laws and regulations

If you are using Action on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In that case, “you” refers to both you and the organization.


2. Description of Service

Action is a workspace collaboration platform designed to help teams track actions, decisions, metrics, channels, and posts with real-time visibility and clear ownership. The service includes:

  • Core Platform: Workspace management, task and action tracking, decision recording, metrics dashboards, and channel-based collaboration
  • AI Features: AI-assisted summaries, highlights, and nudges powered by third-party language models
  • Integrations: Connections to third-party services including Slack, Linear, GitHub, Asana, Attio, and others
  • API Access: An MCP (Model Context Protocol) API enabling programmatic access and AI assistant integration
  • Notifications: Email and Slack-based notifications, reminders, and digests

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with reasonable notice where possible.


3. User Accounts and Responsibilities

Account Registration

To use Action, you must create an account using an approved authentication method (currently Google OAuth). You agree to provide accurate, current, and complete information and to keep your account credentials secure.

Workspace Membership

Access to workspace content is governed by the workspace administrator. Workspace admins control membership, permissions, and channel visibility. Members are responsible for actions taken under their accounts.

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials and API keys
  • All activity that occurs under your account
  • Promptly notifying us of any unauthorized use at support@actionhq.ai

We are not liable for any loss or damage arising from unauthorized use of your account.

Account Eligibility

Action is intended for use by individuals aged 16 and older, primarily in professional or organizational contexts. Accounts registered on behalf of minors are not permitted.


4. Acceptable Use

You agree to use Action only for lawful purposes and in a manner consistent with these Terms. You must not:

  • Violate any applicable laws, regulations, or third-party rights (including intellectual property, privacy, and data protection laws)
  • Upload, post, or transmit any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Attempt to gain unauthorized access to any part of the service, other accounts, or related systems or networks
  • Use automated means (bots, scrapers, crawlers) to access the service, except as expressly permitted through our API with valid credentials
  • Reverse engineer, decompile, or disassemble any part of the service
  • Interfere with or disrupt the integrity or performance of the service or its underlying infrastructure
  • Use the service to transmit spam, unsolicited communications, or any form of malicious code
  • Use the service to store or process sensitive personal data (health records, financial account numbers, government IDs) unless you have obtained appropriate consents and complied with applicable regulations

We reserve the right to investigate and take appropriate action against violations of this policy, including suspension or termination of accounts.


5. Intellectual Property

Our Property

Action and its original content, features, functionality, branding, and underlying technology are and will remain the exclusive property of Action and its licensors. These Terms do not grant you any right to use our trademarks, logos, or brand assets without prior written consent.

Your Content

You retain ownership of all content you create within Action (“User Content”), including tasks, posts, decisions, metrics, and comments. By submitting User Content to Action, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display your content solely as necessary to operate and improve the service.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate any third-party rights.

Feedback

If you submit feedback, suggestions, or ideas about the service, you grant us an unrestricted, irrevocable license to use that feedback for any purpose without compensation to you.


6. Third-Party Integrations

Action supports integrations with a variety of third-party platforms, including but not limited to:

  • Slack — messaging, directory sync, and notifications
  • Linear — issue and project tracking
  • GitHub — code repository and pull request tracking
  • Asana — task and project management
  • Attio — CRM and relationship management
  • Google Workspace — authentication and directory sync
  • AI assistants — ChatGPT, Claude, Cursor, and similar tools via MCP API

Your use of third-party integrations is subject to the respective third-party's terms of service and privacy policies. We are not responsible for the practices, content, or availability of third-party services. By connecting a third-party service to Action, you authorize us to exchange data with that service as described in our Privacy Policy.

We do not guarantee the availability or continued support of any specific integration. Integrations may be added, modified, or removed over time.


7. Data and Privacy

Your use of Action is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your information.

Key points:

  • We do not sell your personal information to third parties
  • Workspace content is visible to workspace members per permission settings
  • Data processed through AI features is subject to our data minimization and no-training commitments described in the Privacy Policy
  • You can request data deletion at any time by contacting privacy@actionhq.ai

8. Limitation of Liability

Disclaimer of Warranties

Action is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted access.

We do not warrant that the service will be error-free, secure, or available at any particular time or location. We do not warrant the accuracy, completeness, or reliability of any content generated by AI features.

Limitation of Liability

To the fullest extent permitted by applicable law, Action and its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, goodwill, or business opportunities — arising out of or related to your use of or inability to use the service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid to us in the twelve months prior to the claim or (b) one hundred US dollars (USD $100).

Indemnification

You agree to indemnify, defend, and hold harmless Action and its affiliates from any claims, liabilities, damages, judgments, costs, and expenses (including reasonable legal fees) arising out of your use of the service, your User Content, or your violation of these Terms or any applicable law.


9. Termination

By You

You may stop using Action at any time. Workspace admins may delete their workspace through account settings. Individual users may delete their accounts through account settings. Upon account deletion, your data will be removed in accordance with our Privacy Policy.

By Us

We may suspend or terminate your access to the service at any time, with or without notice, if we believe you have violated these Terms, if required by law, or if continued access would cause harm to the service or other users.

Effect of Termination

Upon termination, your right to use the service ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property provisions, disclaimers, limitations of liability, and indemnification) will survive.


10. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by:

  • Posting the updated Terms at this URL
  • Updating the “Last Updated” date at the top of this page
  • Sending an email notification for significant changes

Your continued use of Action after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the service.


11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the service shall first be attempted to be resolved through informal negotiation by contacting us at support@actionhq.ai. If informal resolution fails within 30 days, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules, conducted in English.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.


12. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Action regarding your use of the service and supersede any prior agreements.

Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
